By accessing, purchasing, or using data products provided by Alpha Data Vault Systems ("Provider"), you ("Client") agree to be bound by these Terms of Service. These terms apply to all datasets, API feeds, and analytical reports.
1. Acceptance of Terms
By accessing our enriched insider and institutional intelligence products, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
2. Description of Data Products
The Provider offers financial data products derived from public regulatory filings, including but not limited to:
- Insider Transactions: Normalized Form 4 data with proprietary Confidence Scoring (0-100).
- Institutional Holdings: Parsed 13F holdings with Conviction Score analysis.
- Cross-Market Alpha Signals: Proprietary derived metrics identifying divergence opportunities.
- Alpha 30 Intelligence Suite: Curated tracking of 30 elite institutional investors.
- AI Sector Intelligence Suite: Focused institutional positioning data for AI/ML companies.
3. Data Sources and Accuracy
3.1. Third-Party Data Dependencies
Alpha Data Vault Systems aggregates, processes, and enriches data from multiple third-party sources, including but not limited to:
- SEC EDGAR: Form 4 (insider transactions) and Form 13F (institutional holdings) regulatory filings
- Market Data Providers: Historical price data via Yahoo Finance (yfinance) and other publicly available market data APIs
- Corporate Filings: Proxy statements, 8-K filings, and other public company disclosures
3.2. Data Quality and Limitations
While we implement rigorous quality control measures including:
- Automated validation checks against source documents
- Full audit trail metadata linking to original SEC filings
- Multi-stage data normalization and enrichment processes
- Proprietary scoring algorithms (Confidence Scores, Conviction Scores)
The Client acknowledges the following inherent limitations:
- Third-Party Source Errors: Original regulatory filings may contain errors, omissions, or amendments filed after our initial processing
- Market Data Accuracy: Historical price data from third-party providers (including yfinance) may contain gaps, inaccuracies, or adjustments that occur after initial retrieval
- Processing Delays: While we strive for real-time updates, there may be delays between SEC filing publication and our enriched data delivery
- Calculation Dependencies: Our proprietary metrics (including percentage returns, position sizing, and conviction scores) are mathematically derived from the underlying data and inherit any limitations from source data
3.3. Client Responsibility for Verification
The Client is responsible for independently verifying any data used for trading, investment, or business-critical decisions. We provide audit trail metadata (including original SEC filing URLs) to facilitate this verification process.
3.4. Data Corrections and Updates
When we become aware of material errors in our Data Products, we will:
- Correct the data in our systems as soon as reasonably practicable
- Provide updated datasets in the next scheduled data delivery
- Notify affected subscribers of material corrections when feasible
However, we are not obligated to retroactively correct historical datasets that have already been delivered, unless such corrections are part of a separately negotiated service level agreement.
4. License Grant and Permitted Use
4.1. Internal Use License
Unless a separate Enterprise Agreement is signed, the Client is granted a non-exclusive, non-transferable license to use the Data Products solely for internal business purposes, including quantitative analysis, backtesting, and portfolio management.
4.2. Restrictions
The Client shall not:
- Redistribute, resell, or sublicense the raw Data Products to third parties.
- Publicly display the Data Products in a manner that would allow a third party to reconstruct the original database.
- Reverse engineer the Provider's proprietary scoring methodologies (e.g., Confidence Scores, Conviction Scores).
- Share account credentials or access with unauthorized parties.
5. Intellectual Property and Ownership
You acknowledge that Alpha Data Vault Systems retains all right, title, and interest in and to the Data Products, including all intellectual property rights (copyrights, trade secrets, proprietary algorithms). The Data Products are licensed, not sold.

7. Subscription and Cancellation
Subscriptions are billed in advance on a monthly or annual basis. Clients may cancel their subscription at any time via written notice. Access to the Data Products will continue until the end of the current billing cycle.

All non-public information related to the Data Products, pricing, and proprietary methodologies is considered Confidential Information of the Provider. Please refer to our Privacy Policy for details on personal data handling.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of laws principles. Any dispute shall be resolved exclusively in the state or federal courts located in Middlesex County, Connecticut.
12. Changes to Terms
We reserve the right to modify these Terms at any time and will provide you with reasonable notice of any material changes.
